Terms of Service

These Terms of Service (“Terms”) govern access to and use of the SAS Connect platform, including our websites, applications, tools, and related services (the “Services”). The Services are provided by SAS Connect Pty Ltd (ABN 63 687 377 939) (“SAS Connect”, “we”, “us”, “our”).

By accessing or using the Services, you agree to these Terms.

1. Accepting on behalf of an organisation

If you accept these Terms on behalf of a company or other legal entity, you represent that:

  • You are at least 18 years old, and
  • You have the authority to bind that entity and its affiliates.

In that case, “Customer” or “you” refers to that entity and its affiliates.

2. The services

SAS Connect provides workforce management solutions that may include rostering, timesheets, project tracking, reporting, and mobile app access, with optional add-ons such as Analytics and Social Tracking.

We may modify, update, or discontinue features over time, including introducing new features or changing how existing features are delivered.

3. Availability

We aim to keep the Services available 24/7, except for:

  • Planned maintenance (we will use reasonable efforts to provide advance notice), and
  • Unavailability caused by events outside our reasonable control (e.g., outages, network failures, force majeure events).

4. Accounts and security

To use SAS Connect, you may need an account. You agree to provide accurate and current information.

You are responsible for:

  • Keeping authentication details confidential
  • Ensuring only authorised users access your account or organisation workspace
  • Promptly notifying us of suspected unauthorised access

We may disable credentials or suspend access where we reasonably believe there is a security risk, misuse, or breach of these Terms.

5. Plans, seats and add-ons

5.1 Plans

SAS Connect offers:

  • Free Plan: lifetime access, maximum 10 users total, core features only, no add-ons.
  • Pro Plan: paid plan with core features plus optional add-ons, billed based on seats and assigned add-ons.

5.2 Seats and eligibility(high-level)

  • Seats are purchased per role (e.g., Admin, Supervisor, Crew).
  • Every user must have a core seat assigned.
  • Add-ons can be assigned only to eligible roles (Admins and Supervisors) and require a core seat.
  • Crew users cannot be assigned add-ons.

5.3 Primary admin

The organisation’s Primary admin is the initial admin created at registration and must always have at least one Admin core seat. Certain governance privileges (including core billing control) may not be removable from the Primary admin.

5.4 Feature restrictions and masked pages

If a feature is not included in your plan, not enabled, or not assigned to a user, SAS Connect may restrict access by hiding, disabling, or masking pages (including “preview” experiences) and directing you to upgrade or assign access.

6. Free trial, beta services and free services

6.1 Pro plan free trial (30 days)

If your organisation activates Pro for the first time, SAS Connect provides a 30-day free trial where subscription fees are not charged. Billing begins when the trial ends.

If the trial ends mid-month, charges may be prorated for the remainder of the current billing cycle.

6.2 Beta / early access

We may offer beta or early access features. These may change or be discontinued and may have reduced availability or support.

7. Fees, billing cycle, proration and GST

7.1 Billing cycle

Paid subscriptions renew monthly, anchored to the 1st day of each month.

7.2 Proration and plan changes

  • Upgrades (e.g., adding seats, enabling add-ons) take effect immediately and may be prorated for the remainder of the current billing cycle.
  • Downgrades (e.g., reducing seats, disabling add-ons) take effect at the start of the next billing cycle.

7.3 GST and tax display

Prices displayed in SAS Connect are exclusive of GST. A 10% GST will be added to subscription fees.

8. Payments, stripe, invoices and billing profiles

Payments are processed through Stripe. By subscribing, you authorise SAS Connect and Stripe to charge your payment method for applicable fees, prorations, and taxes.

Invoices are available through the billing interface and may be downloadable. A default billing profile is required for Pro subscriptions.

9. Payment failures, grace period and suspension

If a payment attempt fails, we may retry charges and notify billing-authorised admins.

A 7-day grace period applies from the first failed payment notice. If payment remains unresolved after the grace period, we may restrict access to the Services until the outstanding invoice is paid or the subscription is changed to an eligible Free Plan configuration.

10. Seat changes, vacant reuse, and overdue restrictions

Within a billing cycle:

  • removed users may create “vacant” seats/add-ons that can be reused within that cycle without additional charge.

At the start of the next billing cycle, unassigned seats/add-ons are excluded from ongoing billing unless reassigned. If an invoice is overdue, actions that increase billable usage (e.g., adding users or enabling add-ons) may be blocked until payment is resolved.

11. Customer responsibilities and consents

You are responsible for:

  • Ensuring you have the right to collect and use Customer Data in SAS Connect
  • Obtaining any required notices and consents for employee/workforce data
  • Ensuring your authorised users comply with these Terms

Where you collect or process sensitive information (including diversity or workforce participation data), you are responsible for ensuring:

  • Individuals are informed of the purpose of collection;
  • Collection is lawful; and
  • Use of that information complies with applicable privacy laws.

12. Acceptable use and restrictions

You must not:

  • Upload or transmit malware or malicious code
  • Attempt unauthorised access to accounts, systems or networks
  • Interfere with service operation, including automated scraping or disruption
  • Reverse engineer or attempt to derive source code or non-public APIs, except where permitted by law
  • Use the Services to develop or assist development of a competing product using protected/non-public aspects of SAS Connect

13. Support access

To provide support, maintain service reliability, and investigate issues, SAS Connect may need limited access to Customer Data and configuration (including remote access where appropriate). We will use reasonable safeguards and access only as necessary for these purposes.

14. Intellectual property

All content, software, graphics, designs, and features provided by SAS Connect are proprietary assets of SAS Connect or licensed third parties. You agree not to copy, distribute, modify, or reverse-engineer any components of our platform without explicit written permission. Our trademarks, logos, and service marks are registered or common law marks, and their unauthorised use is strictly prohibited.

15. Confidentiality

You must keep authentication details and any non-public SAS Connect materials confidential and ensure authorised users do the same.

16. Customer reference

Unless you object in writing, SAS Connect may identify your organisation as a customer in promotional materials (name/logo only), without disclosing customer data.

17. Term, cancellation and termination

These Terms begin when you first use the Services and continue until terminated.

You may cancel Pro at any time. Cancellation takes effect at the end of the current billing period and may transition the organisation to the Free Plan (subject to the Free Plan’s eligibility requirements, including the 10-user cap).

SAS Connect may suspend or terminate access immediately if you materially breach these Terms or fail to pay fees after the grace period.

18. Refund policy

  • Pro Plan includes a 30-day free trial; no subscription fees are charged during the trial.
  • After paid billing starts, subscription fees are non-refundable, except where refunds are required under the Australian Consumer Law.

19. Disclaimers

To the extent permitted by law, the Services are provided on an “as available” basis. We do not guarantee uninterrupted access or that the Services will be error-free.

20. Limitation of liability

To the maximum extent permitted by law, SAS Connect is not liable for indirect or consequential loss (including loss of profits, revenue, goodwill, or data). SAS Connect’s total liability for claims relating to the Services is limited to the subscription fees paid by you in the 12 months prior to the event giving rise to the claim.

21. Governing law

These Terms are governed by the laws of Victoria, Australia.

22. Changes to these terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice before they take effect. If you do not agree to updated Terms, you must stop using the Services and may cancel your subscription. Continued use after the effective date means you accept the updated Terms.
